General Terms and Conditions of Sale (GTCS) – Small Laboratory Equipment
1. General
These General Terms and Conditions of Sale (hereinafter “GTCS”) apply to all sales of laboratory equipment concluded between the seller and the buyer. Any order implies unconditional and full acceptance of these GTCS. In case of conflict with any other document, these GTCS shall prevail unless expressly agreed otherwise in writing.
2. Products
The descriptions, technical specifications, illustrations, and product details presented on the online platform are provided for information purposes only. The seller reserves the right to modify product characteristics at any time without prior notice, provided such modifications do not materially affect the main functionalities.
3. Orders
- All orders must be placed exclusively via the online platform.
- The seller reserves the right to refuse any order in case of non-compliance with these GTCS, insufficient stock, or for any other legitimate reason.
4. Prices
- Prices are indicated in Canadian dollars (CAD), excluding applicable taxes and shipping fees, unless otherwise stated.
- The seller reserves the right to modify prices at any time without prior notice. However, confirmed orders will be invoiced at the price applicable at the time of the order.
5. Payment
Full payment is required immediately upon placing the order online, unless otherwise expressly agreed in writing.
6. Delivery
- Delivery times are given as an estimate and do not constitute a firm commitment.
- Risk of loss or damage to the products transfers to the buyer upon delivery to the carrier.
- In case of delay or delivery issues, the seller’s liability is limited in accordance with applicable law.
7. Warranty
- The seller warrants that the equipment is free from hidden defects and is suitable for normal use for a reasonable period of time. Given the used condition of the equipment, the reasonable period of use is estimated at 90 days from the date of delivery”.
- The warranty does not cover damages resulting from improper use, inadequate maintenance, or unauthorized modifications by the buyer.
8. Returns and Claims
- Any return must be authorized in advance in writing by the seller.
- Claims must be made in writing within 90 days from the receipt of the products, accompanied by supporting documentation.
9. Liability
The seller shall not be held liable for indirect damages, loss of profits, business interruption, or other economic losses resulting from the use or inability to use the products.
10. Intellectual Property
All content on the platform (texts, images, logos, trademarks) is the exclusive property of the seller or its partners. Any total or partial reproduction without prior written consent is prohibited.
11. Personal Data Protection
Personal data collected during the order process are necessary for order processing and are handled in compliance with applicable data protection laws. The buyer has the right to access, modify, and delete their data.
12. Force Majeure
The seller shall not be held liable for failure to perform its obligations due to force majeure, including but not limited to war, natural disasters, strikes, fire, IT failures, or other circumstances beyond its control.
13. Governing Law and Jurisdiction
These GTCS are governed by Canadian law. Any dispute relating to their interpretation or execution shall be subject to the exclusive jurisdiction of the courts located in the seller’s registered office area.
14. Modification of Terms and Conditions
The seller reserves the right to modify these GTCS at any time. Changes will automatically apply to any order placed after the publication date of the new terms.
